Terms and Conditions Agreement for Video Submission and Ownership Rights

By submitting your video (“Video”) to Wild Africa Sightings, you agree to the following terms and conditions (“Agreement”) regarding the ownership and usage rights of your Video.

 

  1. Video Submission: 1.1 You represent and warrant that you are the rightful owner of the Video or have obtained all necessary permissions, licenses, and releases from relevant parties. 1.2 By submitting your Video, you grant Wild Africa Sightings a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, distribute, modify, adapt, publicly perform, and publicly display the Video on any platform, including but not limited to websites, social media, and other digital or broadcast channels. 1.3 You retain the copyright ownership of your Video.

  2. Ownership Rights and Revenue Split: 2.1 Wild Africa Sightings shall own the rights to post and use the Video on different platforms, including with third parties. 2.2 In consideration for the use of your Video, Wild Africa Sightings shall provide you with a revenue split of 50% of any net revenue generated by the Video’s usage on their platforms or with third parties. 2.3 “Net revenue” refers to the revenue remaining after any applicable deductions, including taxes, transaction fees, and third-party expenses.

  3. Content Guidelines: 3.1 You agree that your Video will not contain any material that infringes upon or violates the rights of any third party, including copyright, trademark, privacy, or publicity rights. 3.2 Your Video must not contain any offensive, defamatory, obscene, or illegal content. 3.3 Wild Africa Sightings reserves the right to reject or remove any Video that violates these content guidelines or is deemed inappropriate at their sole discretion.

  4. Indemnification: 4.1 You agree to indemnify and hold Wild Africa Sightings harmless from any claims, damages, liabilities, or expenses arising out of the use, distribution, or display of your Video, including any violation of intellectual property rights or breach of this Agreement.

  5. Release: 5.1 You release Wild Africa Sightings from any liability for any claims or damages arising from the use, distribution, or display of your Video. 5.2 You release any claims you may have against Wild Africa Sightings relating to the use, distribution, or display of your Video, including but not limited to claims of defamation, privacy, or publicity rights.

  6. Modification and Termination: 6.1 Wild Africa Sightings reserves the right to modify or terminate this Agreement at any time without prior notice. 6.2 You may request the removal of your Video from Wild Africa Sightings’ platforms by contacting them, but they cannot guarantee immediate removal or retrieval of copies that have already been shared or distributed.

  7. Governing Law: 7.1 This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Wild Africa Sightings is located. Any disputes arising out of or relating to this Agreement shall be resolved exclusively in the courts of that jurisdiction.

Our Responsibility In The Agreement

  1. Receiver of Video Submission:

    • Wild Africa Sightings is the entity to which the user submits their video for consideration and potential posting on their platforms.
  2. Rights Holder and User of the Video:

    • Wild Africa Sightings is granted the rights to own and use the submitted video on different platforms.
    • They have the non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, distribute, modify, adapt, publicly perform, and publicly display the video.
  3. Revenue Split:

    • Wild Africa Sightings agrees to provide the user with a revenue split of 40% of any net revenue generated by the video’s usage on their platforms or with third parties.
  4. Content Guidelines and Removal:

    • Wild Africa Sightings has the authority to enforce content guidelines, ensuring that the submitted video complies with their standards.
    • They reserve the right to reject or remove any video that violates the content guidelines or is deemed inappropriate.
  5. Indemnification and Liability Release:

    • Wild Africa Sightings is indemnified and held harmless by the user from any claims, damages, liabilities, or expenses arising from the use, distribution, or display of the video.
    • The user release Wild Africa Sightings from any liability associated with the use, distribution, or display of the video.
  6. Modification and Termination:

    • Wild Africa Sightings reserves the right to modify or terminate the agreement at any time without prior notice.

In General, Wild Africa Sightings plays a central role as the recipient and user of the submitted video, while also ensuring compliance with content guidelines and providing the agreed revenue split to the user.
